These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “you”, or “your”) and Invia Creations (“Company”, “we”, “us”, or “our”), governing your access to and use of our website, services, and any related offerings.
By accessing our website, engaging our services, or making any payment to Invia Creations, you acknowledge that you have read, understood, and agreed to be bound by these Terms, along with our Refund & Cancellation Policy and Privacy Policy, which are incorporated herein by reference.
If you do not agree with these Terms, you must not use our services.
Definitions
For the purposes of these Terms:
- Website-as-a-Service (WaaS) / Rental Model — The subscription-based website service where ownership does not transfer to the Client.
- One-Time Development — The ownership-based website development service delivered upon full payment.
- Billing Cycle — The recurring period (monthly or yearly) for which fees are charged.
- CMS — Content Management System access provided as an add-on.
- Suspension — Temporary disabling of access due to policy violation or non-payment.
- Reactivation — Restoration of suspended services upon compliance and payment.
- Services — Rental plans, one-time development, add-ons, integrations, and related digital services offered by the Company.
Scope of Services
Website-as-a-Service (Rental Model)
Under the rental model:
- The website remains the property of Invia Creations.
- Access is granted only during an active and paid subscription.
- Hosting, maintenance, and technical support are included within the defined plan scope.
- Page limits and structural boundaries apply strictly.
- Non-payment results in enforcement measures as described herein.
The website exists only for the duration of the active subscription.
One-Time Website Development
Under the one-time development model:
- Ownership transfers to the Client only upon full and final payment.
- Scope is limited to agreed deliverables.
- Post-delivery support is limited and time-bound.
- Ongoing maintenance and hosting are not included unless separately contracted.
Add-On Services
Add-ons may include:
- CMS access
- Payment gateway integration
- Hosting (for one-time builds)
- Maintenance (post free period)
Add-ons are governed by defined scope limitations and separate pricing.
Service Modifications
We reserve the right to:
- Modify service structure
- Adjust plan inclusions
- Update operational policies
Such updates shall not retroactively alter completed work but may apply to future billing cycles.
Ownership & Intellectual Property
Rental Model
- No ownership rights transfer to the Client.
- All code, structure, templates, systems, and configurations remain the exclusive property of Invia Creations.
- Upon termination, access ceases, and the website may be archived or deleted.
One-Time Development
- Ownership transfers only after full payment.
- The Company retains rights to underlying frameworks, reusable systems, and development methodologies.
- The Company reserves the right to showcase completed projects in its portfolio unless otherwise agreed in writing.
Payment Terms & Billing
- Fees must be paid in advance for each billing cycle.
- Billing may be monthly or yearly.
- Yearly billing is encouraged for operational stability.
- Payments are non-refundable except as specified in the Refund & Cancellation Policy.
Failure to pay by the due date may result in:
- Late fees
- Suspension
- Reactivation charges
- Archival or deletion of services
All taxes, where applicable, are the responsibility of the Client.
Suspension, Termination & Deletion
The Company reserves the right to suspend or terminate services for:
- Non-payment
- Policy violations
- Illegal use
- Misrepresentation
- Abuse of support
Suspended websites may be:
- Temporarily disabled
- Archived
- Permanently deleted after extended inactivity
The Company is not liable for data loss following termination.
Client Responsibilities
The Client agrees that:
- All content provided is lawful and owned or properly licensed.
- The website complies with applicable Indian laws.
- Regulatory disclosures, licenses, and business claims are accurate.
- The Client bears full responsibility for business operations conducted through the website.
Invia Creations does not audit or verify a client’s business legality.
Acceptable Use
The Services may not be used for:
- Illegal activities under Indian law
- Adult or explicit content
- Gambling services
- Fraudulent schemes
- Misleading claims
- Activities prohibited by payment gateway providers
Violation may result in immediate termination without refund.
Service Limitations
The Company does not guarantee:
- Specific search engine rankings
- Revenue outcomes
- Business performance
- Uninterrupted service availability
Downtime may occur due to:
- Server maintenance
- Third-party service failures
- Force majeure events
The Company shall not be liable for indirect or consequential losses.
Limitation of Liability
To the fullest extent permitted by law:
- The Company’s total liability shall not exceed the fees paid by the Client for the immediately preceding billing cycle.
- The Company shall not be liable for indirect, incidental, consequential, or punitive damages.
Indemnification
The Client agrees to indemnify and hold harmless Invia Creations from any claims, losses, liabilities, damages, or expenses arising from:
- Client-provided content
- Regulatory violations
- Misrepresentation
- Intellectual property infringement
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh, India.
Amendments
The Company reserves the right to update or modify these Terms at any time.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
